Job Title: Governance Officer

About the Role

The Governance Officer will play a key role in ensuring the efficient administration of the Company’s governance framework. This position is vital for supporting Oando’s business objectives, preserving corporate integrity, and minimizing legal and financial risks.


Key Responsibilities

  • Coordinate Board and Committee meetings, including logistics, notices, and follow-ups.
  • Accurately transcribe minutes for the Board of Directors and committees.
  • Manage Directors' induction, training, payments, and overall Board administration.
  • Liaise with registrars to maintain an accurate register of members and facilitate shareholder-related processes.
  • Ensure compliance with dividend payments, bonus certificates, and other shareholder actions.
  • Oversee publication of approved notices in national dailies.
  • Support budget preparation for the Governance Office and track expenses.
  • Act as the first point of contact for NSE Complaint Management Framework issues.
  • Address shareholder inquiries and collaborate with relevant teams for resolution.
  • Simplify and raise awareness of Group Governance policies for internal and external stakeholders.
  • Oversee vendor registration and procurement activities via Oracle systems.
  • Manage administrative aspects of the Oando Housing Scheme.
  • Ensure contract governance compliance and assist staff with governance requirements.
  • Perform other functions as assigned by senior governance leaders.

Reports To

  • Directly: Governance Manager
  • Indirectly: Head of Governance/Group Governance Manager

Requirements

Qualifications

  • Bachelor’s Degree in Law or a relevant business discipline.
  • Professional certifications such as ICSA or ACA (Ethics & Compliance certification is an advantage).
  • Minimum of 2 years of relevant experience in company secretarial, ethics, or compliance administration.

Competencies

  • Strong understanding of corporate governance best practices.
  • Ability to interpret laws, policies, and regulations effectively.
  • Proficiency in planning, organization, and attention to detail.
  • Excellent communication skills, both written and verbal.
  • Strong interpersonal skills with customer-oriented focus.
  • Familiarity with Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
  • Knowledge of Oil & Gas industry dynamics and legal frameworks.

Key Performance Indicators

  • Timely and accurate minutes, resolutions, and filings.
  • Cost-effectiveness of governance events (e.g., AGMs).
  • High internal customer satisfaction levels.
  • Zero penalties for late corporate filings.
